Energy and infrastructure

Sale and structuring of energy projects.

We connect energy projects in Chile with domestic and international investors.

  • BESS storage
  • PMGD
  • Desalination

About us

We know energy. We manage the sale.

Cumbres Sur is a Chilean firm specialized in originating, structuring and managing the sale of energy and infrastructure projects to domestic and foreign investors and companies.

We advise on the marketing of solar, wind, storage, PMGD and desalination projects, and of their companies, land and rights, from early-stage development to operating assets.

We combine commercial, financial and legal capabilities and work with a network of electrical engineers, environmental consultants and grid-connection specialists. This allows us to address the technical, regulatory, contractual and economic aspects of each transaction in parallel, and to support our clients throughout the process.

Transaction structures

Three ways to take a project to market.

01 Strategic partner with purchase option

An investor funds development or construction in exchange for a progressive interest and the option to acquire control of the project or the whole of it.

  • Co-development agreements with purchase option
  • Milestone payments: RCA, connection and RTB
  • Equity contributions and investment commitments

02 Outright sale of the company or the assets

Transfer of the project company (share deal) or of the land, permits and rights (asset deal), for cash, deferred or milestone-based consideration.

  • Purchase of shares or equity interests
  • Assignment of permits, contracts and easements
  • Contingent payments and earn-outs

03 Other bespoke structures

Legal and financial solutions designed around the project, its owners and the investor's profile.

  • Joint ventures and shareholders' agreements
  • PPAs and supply contracts with unregulated customers
  • Land leases, BOT and project finance

Method

How we manage a sale.

Before presenting a project, we verify its legal, environmental and technical standing against the bankability criteria international buyers require.

  1. 01

    Project qualification

    • Review of titles, easements, RCA and permits
    • Resource and connection analysis with engineers from our network
    • Valuation and sale strategy
  2. 02

    Preparation

    • Teaser and information memorandum
    • Resource, yield and connection reports
    • Verified data room and prior legal clean-up
  3. 03

    International placement

    • Selection of suitable buyers and investors
    • Confidentiality agreements
    • Presentations and site visits
  4. 04

    Negotiation and closing

    • Letter of intent and term sheet
    • Buyer due diligence
    • Definitive agreements, closing and milestone follow-up

Follow-up on milestones, commitments and the relationship with the developers after closing.

Principles

Rigor at every stage of the transaction.

Energy and infrastructure transactions demand technical and legal rigor, discretion and long-term commitment. These are the criteria we work by.

  • Prior verification

We review titles, permits, connection and records before committing our clients' time or that of third parties.

  • Confidentiality

Information on each transaction is handled confidentially, under confidentiality agreements, and is not shared between counterparties.

  • Aligned incentives

Our compensation is defined in writing and tied to the result the client actually obtains.

  • Legal and technical rigor

Each structure is designed with legal backing and the support of technical specialists, so that it can be executed and will withstand the buyer's review.
